Member Portal Terms

These Member Portal Terms apply to features accessed through a Member Portal user account, such as Registration, participant records, and role-based team or participant management.

Quick Summary

  • DigitalShift operates the software platform. The Organization runs its own programs and controls what information it collects, what policies apply, who can access records, and what information may be visible to others or to the public.
  • Registration payments are processed through Stripe. Optional PayPal website payment or form features are outside the Member Portal and Registration system.
  • You may receive mandatory Transactional Communications, and the Organization may also send Program Update Communications and Organization Communications.
  • Public website browsing and the public-information-only App are separate; the full Terms below control if this summary differs from the detailed provisions.

1. Scope and Acceptance

These Member Portal Terms (“Terms”) form a binding agreement between you and DigitalShift Interactive Inc. (“DigitalShift,” “we,” “us,” or “our”) regarding your access to and use of the Member Portal and related Platform features accessed through a Member Portal user account.

DigitalShift may present the Platform through sport-specific brands. Those brands are product or marketing brands for the shared Platform and are not separate legal entities or separate member portal operators.

These Terms apply to:

  • User Accounts used to access the Member Portal
  • Registration workflows and related features accessed through a Member Portal user account
  • account-linked participant and household records
  • role-based team or participant management features made available through Delegated Access
  • related payment features within Registration
  • related communications or account-administration features accessed through a Member Portal user account

These Terms do not govern general public browsing of an Organization Website, which is instead governed by the applicable Website Visitor Terms and any Organization-posted website terms. These Terms also do not govern use of the public-information-only App, or optional website payment, form, or similar features outside the Member Portal and Registration system, unless DigitalShift expressly says otherwise for a particular feature.

By creating a User Account, signing in, registering, clicking to accept, submitting information, making a payment through Registration, accepting an Organization-provided waiver or policy through the Member Portal, or otherwise using the Member Portal, you agree to these Terms. If you do not agree, do not access or use the Member Portal.

2. Key Definitions

In these Terms:

“Delegated Access” means Organization-controlled access that allows an End User to view or manage limited team or participant information within an assigned role, such as when a coach, player, parent, volunteer, team manager, or another authorized person is given role-based access.

“End User” means a person who accesses or uses the Platform because of that person’s relationship with an Organization, including a parent, guardian, player, coach, volunteer, official, team manager, or administrator.

“Member Portal” means the account-linked end-user area used for Registration, participant records, and role-based team or participant management.

“Organization” means the sports organization, league, club, tournament operator, team, or similar entity that uses the Platform and controls the relevant registration flow, participant records, or team-management use.

“Organization Website” means a public website or public-facing website feature that an Organization operates through the Platform.

“Organization Communications” means non-transactional messages initiated by an Organization through the Platform that are not Program Update Communications, such as newsletters or general direct messages to registrants.

“Platform” means DigitalShift’s shared software platform and related hosted services, including the Member Portal, Registration, communication tooling, scheduling, standings, stats, and related account-linked or administrative tools.

“Program Update Communications” means Organization-directed operational updates sent through the Platform about games, practices, teams, schedules, dates, times, facilities, cancellations, or similar sports-program changes.

“Registration” means the Platform capability used by an Organization to collect enrollments, participant details, waivers, and optional payments.

“Transactional Communications” means mandatory service-related messages sent by or through the Platform, such as registration confirmations, account notices, security notices, invoices, payment notices, or similar operational communications.

“User Account” means a login identity used to access the Platform. A User Account is distinct from the sports-domain records managed inside the Platform.

“User Content” means information, files, images, photos, communications, registration responses, signatures, and other materials you submit or make available through the Member Portal.

3. Relationship With DigitalShift and the Organization

The Member Portal is operated by DigitalShift, but your sports-program relationship is with the Organization whose Registration, team, league, club, or participant records you are using or managing through the Platform.

DigitalShift is responsible for operating the software Platform. The Organization, not DigitalShift, controls its Registration setup, waivers, consent text, eligibility rules, schedules, team assignments, refunds, communications, supervision, safety, public visibility settings, and other sports-program decisions.

4. Eligibility, Minors, and Parent or Guardian Authority

Direct use of a User Account is available only to an adult who is at least 18 years of age or the age of majority in that person’s jurisdiction, whichever is higher, and who otherwise meets applicable legal authority requirements.

The Organization separately determines what registration requirements apply to minors, including when a parent or legal guardian must review, sign, or authorize Registration materials, waivers, consents, or related submissions for a participant.

The Member Portal is not intended for direct use by minors. Information relating to a minor participant must be submitted and managed by a parent, legal guardian, or authorized Organization representative rather than by the minor directly.

The Organization controls what participant and parent or guardian information is collected for minors and what notices, authorizations, or permissions are required for submission, management, sharing, or public visibility of that information.

If you create or use a User Account, submit information about a participant, or complete a Registration for another person, you represent that:

  • you are authorized to do so
  • any information you submit is accurate to the best of your knowledge
  • you have authority to provide that person’s personal information, photos, signatures, and related consents or permissions
  • you have obtained any required parent, guardian, participant, publicity, photo, privacy, or other consent, permission, or authorization

If you accept an Organization-provided waiver, consent, release, or related document through the Member Portal, you represent that you are authorized to accept it for yourself or, if applicable, on behalf of the participant whose Registration you are completing.

5. User Accounts and Access

You agree to:

  • provide accurate and complete information
  • keep your account information updated
  • keep your login credentials and devices reasonably secure
  • use the Member Portal only for authorized purposes
  • notify DigitalShift or the relevant Organization promptly if you suspect unauthorized use of your account

The Organization controls who may access records within its part of the Platform and what level of access is granted. Delegated Access is role-based and may permit other authorized users to view or manage limited participant, household, or team information depending on the Organization’s settings and the feature involved.

DigitalShift is not responsible for unauthorized access, disclosure, or misuse resulting from the Organization’s permission settings, your credential sharing, insecure devices, or the actions of persons you or the Organization authorize.

6. Registration, Waivers, and Organization Policies

Registration forms, pricing, deadlines, eligibility requirements, refund policies, waivers, consent language, privacy notices, publicity or photo permissions, and related program terms are provided or configured by the relevant Organization, not by DigitalShift.

During Registration, the Platform may display Organization-provided terms, waivers, consents, or related documents for review and acceptance. The Platform may collect an electronic signature and, where applicable, parent or legal guardian name and signature information.

DigitalShift provides the software workflow for that process, but DigitalShift does not draft, review, validate, or guarantee the legal sufficiency, enforceability, or accuracy of Organization-provided waivers, policies, program terms, eligibility requirements, or consent language.

7. Payments and Refunds

Registration payments made through the Member Portal are processed through Stripe. DigitalShift does not receive or store full payment card numbers or card security codes in its own systems.

An Organization may separately choose to use an optional website payment or form feature, or another Organization-selected website integration, that operates outside the Member Portal and Registration system and uses PayPal or another processor for that website use. Any such use is outside these Member Portal payment terms.

Program fees, refund eligibility, cancellation consequences, chargeback disputes, failed-payment consequences, and payment disputes arising from Organization program terms or refund decisions are controlled by the relevant Organization and the applicable payment processor, not by DigitalShift.

8. Communications

By using the Member Portal, you acknowledge that you may receive Transactional Communications needed to provide, secure, support, or administer the Member Portal or related Registration features, including account, registration, payment, billing, security, or service notices.

Organizations may also send Program Update Communications and Organization Communications through the Platform. The relevant Organization is responsible for the content, legality, audience, and compliance posture of those communications.

DigitalShift may limit, suspend, or disable organization-directed communication features where reasonably necessary to address suspected misuse, abuse, unlawful messaging, excessive complaints, deliverability issues, or third-party provider concerns.

You may be able to opt out of Program Update Communications and Organization Communications through your Member Portal user communication preferences, but you may still receive Transactional Communications that are necessary to provide or administer the Platform.

DigitalShift does not guarantee delivery, receipt, inbox placement, or response to any communication.

9. User Content, Licenses, and Authority

You are responsible for the User Content you submit through the Member Portal and for confirming that you have the right to submit it.

You must not submit User Content that:

  • is false, misleading, or materially inaccurate
  • infringes another person’s intellectual property, privacy, or publicity rights
  • is unlawful, abusive, defamatory, harmful, or fraudulent
  • contains malware, harmful code, or unauthorized data-collection mechanisms

You grant DigitalShift a non-exclusive, worldwide, royalty-free right to host, process, reproduce, transmit, display, and make User Content available solely as needed to provide, operate, maintain, secure, debug, support, and improve the relevant Member Portal and Platform features for you and the relevant Organization, and to comply with legal obligations.

DigitalShift may also use aggregated, de-identified, or anonymized information that does not identify an individual for service operation, security, analytics, reporting, and improvement, subject to applicable law. This license does not permit DigitalShift to use identifiable User Content for advertising profiling or cross-context behavioral advertising.

You also authorize the relevant Organization to use, access, display, manage, and rely on User Content for that Organization’s registrations, team or participant management, communications, public display settings, and sports-program operations.

If you submit personal information, images, photos, signatures, or other content relating to another person, including a minor, you represent that you have authority to do so and have obtained any required permission or consent.

10. Public Visibility and Photos

Some participant, team, roster, schedule, standings, statistics, profile, name, and photo information may be visible to other users or to the public depending on Organization settings and Platform features.

Participant or player names may be public by default in some Platform features. If a person record has a photo, that photo may also be publicly visible. Additional visible fields depend on the Organization’s settings and the relevant feature.

Organizations can upload participant photos. End Users can upload participant photos only where the Organization enables that capability.

If you submit a photo or other content for public or shared display, you are responsible for confirming that you have authority to do so.

The Organization is responsible for deciding whether public or shared visibility of minor-related information, photos, roster data, or profile information is appropriate.

11. Cookies, Technical Data, and Tracking

DigitalShift may use essential cookies, session technologies, authentication tools, technical logs, security logs, and operational monitoring reasonably necessary to provide, secure, debug, and maintain the Member Portal and Registration system.

DigitalShift does not intentionally deploy advertising tracking technologies on Organization Websites by default and does not use Member Portal activity for advertising profiling or cross-context behavioral advertising.

An Organization may independently add analytics tools, advertising pixels, embeds, scripts, plugins, or other tracking technologies to its Organization Website or related experiences, including a final confirmation screen in a Registration flow. Those tools are controlled by the Organization, not by DigitalShift by default.

12. Suspension and Termination of Access

DigitalShift may suspend, restrict, or terminate your access to the Member Portal if:

  • you violate these Terms
  • your use creates a security, legal, or operational risk
  • DigitalShift is required to do so by law, court order, sanctions, export-control restriction, payment-network requirement, or third-party provider compliance requirement
  • fraud, abuse, or unauthorized activity is suspected

The relevant Organization may also suspend or terminate your access to its programs, records, or Member Portal features.

13. Acceptable Use

You must not:

  • use the Member Portal for unlawful, fraudulent, or harmful purposes
  • attempt to gain unauthorized access to systems, data, or accounts
  • impersonate another person or misrepresent your authority
  • interfere with the security, integrity, or operation of the Platform
  • misuse communication tooling or role-based access features
  • use automated scraping or extraction tools against the Member Portal without DigitalShift’s written permission

DigitalShift may investigate suspected misuse and may remove or disable access to User Content or accounts where reasonably necessary to protect the Platform, other users, Organizations, or DigitalShift.

14. Privacy

Personal information handled through the Member Portal is subject to the Privacy Policy.

Participant and household information submitted through the Member Portal may include personal information relating to minors and is generally processed by DigitalShift on the relevant Organization’s behalf.

You acknowledge that:

  • the relevant Organization usually decides what registration and participant information is collected and why
  • DigitalShift generally processes Organization-controlled information on the Organization’s behalf to provide the Platform
  • DigitalShift also handles limited information for account administration, support, security, fraud prevention, billing, and legal compliance
  • requests relating to access, correction, deletion, or privacy rights should usually be directed to the relevant Organization first, although you may also contact DigitalShift through the Privacy Policy contact channel

15. Intellectual Property

DigitalShift and its licensors retain all rights, title, and interest in and to the Member Portal, Platform, software, interfaces, templates, and related intellectual property, excluding User Content and Organization-controlled content rights held by others.

Except for the limited use rights expressly granted under these Terms, no rights are granted to you by implication or otherwise.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE MEMBER PORTAL IS PROVIDED “AS IS” AND “AS AVAILABLE.”

DIGITALSHIFT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE MEMBER PORTAL WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR THE ORGANIZATION’S PROGRAM REQUIREMENTS OR YOUR PARTICULAR EXPECTATIONS.

DIGITALSHIFT DOES NOT CONTROL ALL THIRD-PARTY INFRASTRUCTURE OR SERVICES THAT MAY AFFECT ACCESS TO OR USE OF THE MEMBER PORTAL.

Without limiting the foregoing, DigitalShift does not guarantee:

  • uninterrupted access or error-free operation
  • delivery, receipt, or inbox placement of communications
  • the accuracy, legality, or enforceability of Organization-provided forms, policies, waivers, or content
  • the decisions, conduct, or performance of an Organization or another user

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIGITALSHIFT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, REVENUE, GOODWILL, OPPORTUNITY, OR PARTICIPATION ELIGIBILITY, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIGITALSHIFT IS NOT LIABLE FOR LOSSES ARISING FROM:

  • the actions, decisions, or omissions of an Organization
  • refund disputes, program cancellations, or eligibility decisions
  • Organization-configured forms, waivers, communications, permissions, or public-visibility settings
  • third-party processor failures, chargebacks, deliverability failures, device or network interruptions, or other provider disruptions outside DigitalShift’s direct operational control
  • the acts or omissions of other users

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

18. Changes to These Terms

DigitalShift may update these Terms from time to time. Updated versions will be posted with a revised “Last Updated” date.

DigitalShift may require renewed electronic acceptance or provide other notice for material changes.

19. General

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict-of-law principles.

If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect and the unenforceable provision will be enforced to the maximum extent permitted by law.

These Terms do not create any partnership, employment, agency, or joint venture relationship between you and DigitalShift.
